SetPerch Terms and Conditions

1. Agreement to these Terms
These Terms and Conditions ("Terms") govern your access to and use of the SetPerch website at setperch.com, the SetPerch web application, and related services (together, the "Service"). The Service is operated by Caperno, LLC, a Minnesota limited liability company ("Caperno," "SetPerch," "we," "us," or "our").
By creating an account, purchasing a plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. The Service
SetPerch is a space-planning tool that lets you create, arrange, and save layouts for rooms and other spaces. Each purchased plan covers the number of named spaces described at checkout. We may add, change, or remove features from time to time. We will not materially reduce the core features of a plan you have already paid for during its paid term.
3. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to purchase a plan or create an account. You agree to give accurate information when you sign up and to keep it current.
You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at setperch.com">support@setperch.com if you believe your account has been accessed without permission.
4. Plans, pricing, and payment
SetPerch is sold on a pay-per-plan basis. There is no free tier. Plan types, the number of named spaces included, and prices are shown on setperch.com and at checkout.
- Payment processing. Payments are processed by our third-party providers, Outseta and Stripe. By paying, you also agree to their applicable terms. We do not store your full card number.
- Taxes. Prices exclude applicable sales and similar taxes unless stated otherwise. You are responsible for any taxes that apply to your purchase.
- Recurring charges. If your plan renews automatically, you authorize us to charge your payment method at the start of each renewal period until you cancel. We will show the renewal terms at checkout.
- Price changes. We may change prices for future purchases or renewals. We will give you notice before a price change applies to a renewal.
5. Cancellation and refunds
You may cancel a renewing plan at any time from your account settings. Cancellation stops future charges; you keep access through the end of the period you paid for.
Because each plan gives immediate access to the full Service, payments are non-refundable except where required by law or where we choose to issue a refund at our discretion. If you believe you were charged in error, contact us at setperch.com">support@setperch.com within 30 days of the charge.
6. Your content
You own the layouts, names, measurements, images, notes, and other material you add to the Service ("Your Content"). You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, process, and display Your Content only as needed to operate, secure, and improve the Service for you. This license ends when Your Content is deleted from our systems, except for copies kept in routine backups for a limited time or as required by law.
You are responsible for Your Content and confirm you have the rights needed to upload it.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Upload content that infringes someone else's rights, or that is harmful, abusive, or contains malware
- Attempt to access accounts, systems, or data you are not authorized to access
- Probe, scan, or interfere with the Service's security or performance
- Copy, resell, sublicense, or reverse engineer the Service, except where the law expressly allows it
- Use bots, scrapers, or automated tools to access the Service without our written permission
- Share your account with others or let more people use one plan than the plan allows
8. Our intellectual property
The Service, including its software, design, text, graphics, logos, and the SetPerch name, is owned by Caperno, LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service during your paid plan. No other rights are granted.
If you send us feedback or suggestions, we may use them without any obligation to you.
9. Planning tool only
SetPerch layouts are visual planning aids. They are not architectural, engineering, construction, or code-compliance documents. Measurements and fit depend on the information you enter. Verify dimensions, clearances, and building or safety requirements independently, and consult a qualified professional before building, renovating, or buying based on a plan.
10. Third-party services
The Service relies on third parties, including hosting, authentication, and payment providers. We are not responsible for third-party services, websites, or products, and your use of them is governed by their own terms.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CAPERNO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT LAYOUTS OR MEASUREMENTS WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR KEEPING YOUR OWN COPIES OF IMPORTANT CONTENT.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CAPERNO AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Caperno and its members, officers, employees, and agents from claims, losses, and expenses, including reasonable attorneys' fees, arising from Your Content, your misuse of the Service, or your violation of these Terms or of anyone else's rights.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially violate these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure for us or others. Where reasonable, we will give notice first.
After termination, your right to use the Service ends. We may delete Your Content after 30 days, so export anything you want to keep. Sections 6 through 13, 15, and 16 survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at setperch.com">support@setperch.com and try in good faith to resolve the dispute informally for at least 30 days.
If the dispute is not resolved, it will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and both parties consent to personal jurisdiction there. Either party may bring an individual claim in small claims court if it qualifies.
16. General terms
- Changes to these Terms. We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, notify you by email or in the Service. Continuing to use the Service after changes take effect means you accept them.
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us about the Service.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We may send notices to the email address on your account. You may send notices to us at the contact details below.
